Adee - Terms of Service
If you are entering into this Agreement on behalf of an organization or company (or other entity), you represent that you are an employee or agent of such company (or other entity) and you have the authority to enter into this Agreement on behalf of such company (or other entity).
For the purpose of this Agreement, you and, if applicable, such organization (or other entity) constitute “Customer” or “you”. The “Effective Date” of this Agreement is the date you register and start using the application and agree to the terms and conditions of this Agreement. If you do not agree with any of these terms, you are prohibited from using or accessing Adee products. The materials contained in Adee App are protected by applicable copyright law.
Registration and Download
In order to access the Adee Services . ('us', 'we', or 'our'), you must register with a valid email address which you will receive your account information and service link through.
Deactivations
Detection by the Adee Software of your use in violation of this Agreement; or the expiration of the applicable Subscription or Free Trial Period.
Privacy
Adee ask for personal information such as name and email in order to provide a desired service to you such as responding to your questions, providing access to certain features or functionalities, pursuing legitimate interests, such as direct marketing, research and development (including marketing research), measuring engagement or developing new products.
Adee do not share any personally identifying information with third-parties or publicly, except when it is required to by law. The collected data by Adee is anonymous when possible. You have the right to opt out of certain uses of your personal information at any time by contacting hello@adee.co, but you need to understand that it can impact providing desired services to you.
Freemium
Only Adee plugins within limited time are free to use and is intended to allow you to try the Adee Services and gathering feedback.
Permission
Permission is granted to download and install Adee plugin within Sketch, Figma or Adobe XD. Under this agreement you may not: . modify or copy the materials; . transfer the materials to another person or "mirror" the materials on any other server. . attempt to decompile or reverse engineer any software contained. . remove any copyright or other proprietary notations from the materials; or . transfer the materials to other persons the materials in the form of re-sale. . copy idea and any features developed in Adee Your use of Adee will be reviewed and/or removed if you break any of these restrictions and agreement. We will also take legal actions if any of above items are violated.
Expiration of Beta version
At the end of the Beta Version period, you may need to subscribe to continue using the current features or pay for new features.
Cancelling subscription
You can cancel your subscription whenever you like, however if you are on monthly plan you must cancel before the monthly renewal date. If you are on a yearly plan, you need to contact us within 10 days after the renewal date for refund. Unless required by law, YOU WILL NOT RECEIVE A REFUND OF ANY PORTION OF THE SUBSCRIPTION FEE PAID FOR THE THEN-CURRENT SUBSCRIPTION PERIOD AT THE TIME OF CANCELLATION. If you’d like to cancel and receive a refund, please contact to us at hello@adee.co and we’ll assist you with that.
Taxes
Subscription Fees do not include taxes, and you agree to: (a) pay all sales/use, gross receipts, value-added, GST, personal property, or other tax (including any interest and penalties) with respect to the transactions and payments under these Terms, other than taxes based on our income, employees, or real property; and (b) be responsible for any filing of any information or tax returns with respect thereto.
Stripe Payment Gateway
Adee payment is through Stripe payment. By accepting terms and condition of Adee payment, you agree with Stripe's Terms (https://stripe.com/au/legal/consumer) and Privacy (https://stripe.com/au/privacy) as well.
Disclaimer
Adee make no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any Services, and we make no guarantees around data retention or preservation. THE SERVICES ARE PROVIDED “AS IS,” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
Limitations of Liability
NEITHER ADEE NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES (“SUPPLIERS”) WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES.
Feedback
Notwithstanding any terms to the contrary in this Agreement, any suggestions, comments or other feedback provided by users or customers to Adee with respect to the Adee will be owned by Adee and constitute confidential information of Adee which may not be disclosed to any third party.
Security
Adee uses Mixpanel that uses the Google Cloud Platform to persistently collect users information anonymously. Google Cloud Platform holds industry best security certifications and offers encryption in transit and at rest. Read more about Mixpannel. By downloading and using Adee you are agreeing to be bound with the current version of these terms and conditions are governed by and construed in accordance with the laws of Australia and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
Changes to the Terms or Services
We may modify the Terms at any time, at our sole discretion. If we do so, we will let you know either by posting the modified Terms on the Site or through other communications. We may also change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.
